1.  Introduction and Acceptance

These Terms & Conditions (the "Terms") govern your access to and use of the website located at www.cementonestopsolutions.com and any content, forms, features and services made available through it (collectively, the "Website"), operated by Business Dimensions International ("BDI", "we", "us" or "our"), a management consultancy serving the cement and allied minerals industry with an office in Ahmedabad, Gujarat, India.

By accessing, browsing or using the Website - or by submitting an enquiry or any other information through it - you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy and Disclaimer, which are incorporated by reference. If you do not agree, please do not use the Website.

2.  Definitions

  • Content - all text, graphics, images, logos, data, layouts, designs, downloadable materials and other material made available on the Website.

  • User / you - any person who accesses or uses the Website.

  • Services - the consultancy and advisory services described on the Website, which are provided under separate written engagement terms and not through the Website itself.

  • Submission - any information, enquiry, application or material you submit through the Website or by email or messaging.

3.  Eligibility

The Website is intended for use by professionals and businesses. By using it, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you use the Website on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

4.  Use of the Website

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for lawful, informational and business-enquiry purposes, in accordance with these Terms. This licence does not permit any commercial exploitation of the Website or its Content except as expressly authorised by us in writing.

5.  Nature of Information; No Advisory Relationship

The Content on the Website - including articles, industry insights, case studies, service descriptions, and commentary - is provided for general informational purposes only about BDI and its capabilities. It does not constitute formal business, technical, engineering, financial, investment, or legal advice, and does not create any consultant-client, advisory, or fiduciary relationship. Any consulting insights, frameworks, or recommendations referenced on the Website are illustrative and general in nature; specific advice tailored to your organisation’s circumstances is provided only pursuant to a signed engagement letter or services agreement with BDI and should not be inferred from general Website content.

The Website and all Content are owned by or licensed to BDI and are protected by copyright, trademark and other intellectual-property laws. The name "Business Dimensions International", the BDI logo, and related marks are the property of BDI. Except as expressly permitted:

  • you must not copy, reproduce, republish, distribute, modify, adapt, translate, create derivative works from, publicly display, or commercially exploit any Content without our prior written consent;

  • you must not use any BDI mark without our prior written permission.

7.  User Submissions

When you send us a Submission through the contact form, email or messaging, you are responsible for its accuracy and for ensuring you have the right to share it. You grant BDI a non-exclusive, royalty-free right to use the Submission solely to respond to and manage your request and for the related purposes described in our Privacy Policy. Please do not send us confidential or proprietary information through the Website that you do not wish us to receive on a non-confidential basis, except under a separate written confidentiality arrangement.

8.  Prohibited Uses

You agree not to use the Website in any way that is unlawful, harmful or that could damage or impair its operation. In particular, you must not:

11.  Limitation of Liability

To the maximum extent permitted by applicable law, BDI, its directors, employees, associates and agents shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with your use of, or inability to use, the Website or its Content, whether based in contract, tort (including negligence), or any other legal theory, even if advised of the possibility of such damages.

To the extent any liability cannot be excluded, BDI's total aggregate liability arising out of or relating to the Website shall not exceed one hundred Indian Rupees (INR 100) or the minimum amount permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

12.  Indemnification

You agree to indemnify, defend and hold harmless BDI and its directors, employees, associates and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or connected with your breach of these Terms, your misuse of the Website, or your violation of any law or third-party right.

13.  Privacy and Cookies

Your use of the Website is also governed by our Privacy Policy and Cookie Policy, which explain how we collect, use and protect personal data and how we use cookies, in accordance with the GDPR, the CCPA/CPRA and India's DPDP Act, 2023 (and the DPDP Rules, 2025). By using the Website, you acknowledge those policies.

14.  Availability and Changes to the Website

We may modify, suspend, or discontinue any part of the Website at any time, with or without notice, and we are not liable to you or any third party for doing so. We may also update the Content at any time, but we are under no obligation to keep it current.

17.  Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles. Subject to Section 18, the courts at Ahmedabad, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Website. Nothing in this clause affects any mandatory statutory rights you may have as a consumer or data subject under the laws of your country of residence.

18.  Dispute Resolution

In the event of any dispute or difference arising out of or in connection with these Terms, the parties shall first attempt to resolve it amicably through good-faith discussions. Failing resolution within thirty (30) days, the dispute shall be finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Ahmedabad, Gujarat, and the language shall be English.

19.  General Provisions

19.1  Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy and Disclaimer, constitute the entire agreement between you and BDI regarding your use of the Website and supersede any prior understandings.

19.2  Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3  Waiver

Our failure to enforce any provision shall not be deemed a waiver of that or any other provision.

19.4  Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

19.5  Changes to these Terms

We may revise these Terms from time to time. The "Last Updated" date indicates the latest revision. Your continued use of the Website after changes take effect constitutes acceptance of the revised Terms.
